WafangdianBearingGroupCo.,Ltd.(hereinafterreferredtoas"WafangdianBearingGroup"orthe"Offeror")announcedtheTenderOfferReportonWafangdianBearingCo.,Ltd.onJanuary19,2026,andresolvedtolaunchacomprehensivetenderoffertoallshareholdersofWafangdianBearingCo.,Ltd.(hereinafterreferredtoasthe"Company"or"WazhouB")otherthantheOfferor,toacquiretheCompany'ssharesheldbythem,commencingonJanuary20,2026.Thetermofthistenderoffershalllastfor39calendardays,startingfromJanuary20,2026(inclusive)andendingonFebruary27,2026(inclusive). AccordingtothestatisticsprovidedbyChinaSecuritiesDepositoryandClearingCorporationLimitedShenzhen Branch, as of February 27, 2026, a total of 1,459 shareholders of Wazhou B havetendered their shares in acceptance of the offer, representing an aggregate of 54,524,555unrestricted tradable public shares tendered. In accordance with the effectiveness conditionsstipulatedintheTenderOfferReportonWafangdianBearingCo.,Ltd.,thistenderofferhasbecomeeffective. UponcompletionofthetransferoftenderedsharesundertheOffer,theproportionofsharesheldbypublicshareholdersintheCompany’stotalsharecapitalwillfallbelow10%.InaccordancewiththeSecuritiesLawofthePeople’sRepublicofChina,theShenzhenStockExchangeStockListingRulesandotherrelevantlawsandregulations,theCompany’sequitydistributionwillnolongermeetthelistingrequirements. Accordingtotheprovisionsofrelevantregulations,thecompanysubmittedtheapplicationforthistermination of listing to the Shenzhen Stock Exchange on September 14,2026. On September16,2026,thecompanyreceivedthe"LetteronAgreeingtoAccepttheApplicationforTerminationofListing of Wafangdian Bearing Co., Ltd." (Company Department Letter [2026] No.280) from theShenzhen Stock Exchange. The Shenzhen Stock Exchange officially accepted the company'sapplicationfortheterminationofitsstocklisting. InaccordancewiththerelevantprovisionsoftheShenzhenStockExchangeStockListingRules,theShenzhenStockExchangeListingCommitteeshallformreviewopinionswithinfifteentradingdaysaftertheSZSEacceptstheCompany’sapplication.TheSZSEwillmakeadecisiononwhethertoterminatethelistingoftheCompany’ssharesbasedonthereviewopinionsoftheListingCommittee.Before issuing the decision on termination of listing, the SZSE may request the Company tosupplementmaterials,andtheperiodforsupplementingmaterialsshallnotbecountedintothetimelimitfortheSZSEtoissuetherelevantdecision.ThereshallbenodelistingarrangementperiodfortheCompany’svoluntaryterminationoflisting.TheCompany’sshareswillbedelistedwithinfivetradingdaysfromthedatewhentheSZSEannouncesthedecisiononterminationoflisting,andthelistingoftheCompany’ssharesshallbeterminatedaccordingly.
