Followingtheaboveresignation,Mr.Ga?lAliHiliservesasaDirector,ChairmanoftheBoard,andmemberoftheAuditCommitteeoftheCompany,andwillcontinuetoserveasaDirectoroftheCompany’swholly-ownedsubsidiary,AdamaAgriculturalSolutionsLtd.(“Solutions”),whilealsoassumingtheroleofChairmanoftheBoardofthatcompany.TheBoard approved the separation arrangement between Solutions and Mr. Ga?lAli Hili,regardingMr.Ga?lAliHili’sresignationfromtheabovepositionintheCompany.Asofthedateofthisannouncement,Mr.Ga?lAliHilidoesnotholdanyCompanyshares,norarethereanyoutstandingpubliccommitmentsthathavenotbeenfulfilled,andnothingrelatedtohisresignationneedstobebroughttotheattentionoftheBoardandshareholdersoftheCompany.Mr.Ga?lAliHiliwillcompletethehandoverofhisdutiesinaccordancewiththeCompany’sManagementPolicyfortheDepartureofBoardMembersandSeniorExecutives.TheBoardhighlyvaluesanddeeplyappreciatesthesignificantcontributionMr.Ga?lAliHilimadetothedevelopmentoftheCompanyduringhistenureasPresidentandChiefExecutiveOfficer.
